New WFCR Foundation by-laws adopted 10/5/07, some key points:
Clearly states that the WFCR Foundation, Inc is an advisory board, making it subject to the federal rules requiring open meetings, etc.
Board provides advice and makes recommendations related to overall programming of WFCR. However, While the Board is advisory, it is not a policy-making board, nor does it determine the station's programming format or program content.
Apparently folds the former "Advisory Committee" into the Foundation, because five memberships are specified for representatives of the five colleges, and these five members constitute a Committee of the Board. So, presumably, the former Advisory Committee has now been abolished.
Vacancies on the Board will be posted at the WFCR website. Nominations may be submitted at any time, even if there is not a vacancy. Nominating instructions will be posted at the website, or may be obtained from the WFCR office.
Regular meetings are in March, June, September, and December. They are open to the public and each agenda will include an opportunity for the public to make comments. Minutes (of non-executive sessions) will be posted on the website after approval. (This always entails a three month delay, for approval.)
Board can hold telephonic meetings, as they did on October 5 to approve these bylaws. The bylaws do not specifically state that these are open to the public; however section 3.9 (titled "Regular Meetings") says that "All meetings of the Board are open to the public" so presumably telephonic meetings are also. In an argument about our illegal exclusion from the telephonic meeting of October 5, Martin Miller agreed at least that after the bylaw revision, we would have to be included.
